eCommerce Circle Partner Program — Terms of Service

Last updated: May 2026. By signing up to the eCommerce Circle Partner Program (operated by Insiteful (Aust) Pty Ltd, trading as eCommerce Circle), you (the Partner) agree to the following terms.

1. ELIGIBILITY AND APPROVAL. Acceptance into the program is at our sole discretion. We assess audience fit, professional reputation, and your stated promotion approach. Approval is typically given within 48 hours of application. We may decline any applicant without explanation.

2. COMMISSION STRUCTURE. Approved Partners earn commissions on referred sales as follows: 30% lifetime recurring on Connect™, Collective™, and More Orders Command Centre™ subscriptions; 30% one-time on premium bundles (Converter Kit™, More Orders 365, etc.); 40% one-time on standalone courses and workshops; 50% on $7 Black Friday tripwire products. We may add, change, or remove products and their commission rates at any time with 30 days notice. Existing approved sales retain their original commission rate.

3. TRACKING AND ATTRIBUTION. We use a 60-day cookie window. When a customer clicks your unique tracking link, they are attributed to you for 60 days following that click. If a customer visits via multiple Partner links, last-click attribution applies. Inner Circle ($3,500/mo coaching) and Insiteful agency services are excluded from the program and do not generate commission.

4. PAYOUT TERMS. Payouts are processed monthly on or around the 15th, for commissions earned in the prior calendar month and verified against refunds. Minimum balance to trigger payout is A$100. Balances below A$100 carry forward to the next cycle. Payouts are made via PayPal to the email address you supplied at signup. You are responsible for any PayPal fees and for declaring this income to your local tax authority.

5. REFUNDS AND CHARGEBACKS. If a customer you referred receives a refund, the corresponding commission is reversed from your balance. If the refund happens after a payout has been issued, the amount is deducted from your next payout. Chargebacks are treated equivalently to refunds.

6. PROHIBITED PROMOTION. The following are not permitted and may result in termination from the program and forfeiture of unpaid commissions: bidding on our branded search terms (including 'ecommerce circle', 'paul warren', 'connect', 'collective', and obvious variants) in Google Ads or any paid search platform; posting direct affiliate links to the Shopify Australia Facebook community without prior written approval; using fake reviews, AI-generated testimonials, or fabricated case studies; making specific income or earnings claims on our behalf; impersonating eCommerce Circle, Paul Warren, or any team member; bulk unsolicited email (spam); registering domains containing our trademarks; running any promotion that brings the brand into disrepute.

7. INTELLECTUAL PROPERTY. We grant you a non-exclusive, revocable, royalty-free licence to use our supplied logos, banners, product images, copy, and other marketing assets in your Partner promotions during the term of the program. You may not modify our trademarks or use them in domain names, business names, or in any way suggesting an endorsement beyond Partner status. All rights not expressly granted are reserved.

8. RELATIONSHIP. You are an independent Partner, not an employee, agent, or joint venturer of Insiteful or eCommerce Circle. You have no authority to enter into agreements or make representations on our behalf. Nothing in these terms creates a partnership or fiduciary relationship.

9. CONFIDENTIALITY. Information you receive about our program, products, customers, or operations that is not publicly available must be kept confidential and used only for the purpose of fulfilling your Partner duties.

10. TERMINATION. Either party may terminate this agreement at any time, with or without cause, by email notice. On termination: your tracking links cease to track new sales; any verified, refund-cleared commissions owed will be paid on the next monthly payout cycle; the licence granted in clause 7 is immediately revoked and you must cease using our marks and materials; clauses on confidentiality, indemnity, and limitation of liability survive termination.

11. INDEMNITY. You indemnify us against any claims, losses, or damages arising from your promotion activities, including any claims by third parties relating to your content, advertising, or representations about our products.

12. LIMITATION OF LIABILITY. To the maximum extent permitted by law, our total liability to you under or in connection with these terms is limited to the value of unpaid commissions owed to you at the time the claim arises. We are not liable for indirect, consequential, or special damages.

13. GOVERNING LAW. These terms are governed by the laws of New South Wales, Australia. Disputes are subject to the exclusive jurisdiction of the courts of New South Wales.

14. CHANGES TO TERMS. We may update these terms from time to time. Material changes will be communicated by email at least 30 days before they take effect. Continued participation in the program after the effective date constitutes acceptance.
